Doesn't make them immune to the law. Not going to make the case here on the forums like some others but Zenimax could potentially bankrupt themselfs if they play this crude farce with there subscriber base.
Understand that your legal team/financial adviser is not your friend, its not the Bethesda team, & can bring you ruin on false promises they can't live up to; That portions of your stock hold may have other financial interests in mind & not care about the work you've put your life into to bring such a solidly supported franchise together.
As Clition has found out about her pollers, they've been paid to tell you assumptions that may be wrong or write, win or loose there work pool continues. Not to say some aspect of them wont take bad press, but how through was any press in identifying who these failures are. They wont put it on their resume, they instead just might put what was once your money into blizzard stocks & hire themselves. Especially said they would've made the same decision you've made against your loyal subscriber base, fractured, turned against you; Except they'll know who you are & love will turn to hate.

From a Financial analysis:
- If you devalue your subscriber base $15 a month over singular one time $40 purchases that means you wouldn't expect your subscribers to last for three additional months of gameplay which I would't expect happens all too often seeing the number of people who've been hear since launch. If you were to sustain more off this narrative you'd have to crank out $40 dlc quarterly or more like the original eso+ narrative except now your not getting paid even when you don't & at that your making $5 less.
- If you say that there are too little subscribers then you'd still be getting less money from the people who want access to just the dlc.
- If you say the only demand for the dlc is from the subscribers, your still better giving subscribers the content. In this situation the subscription would be more valuable then the dlc from market perspective. New is new & old is old. New players have just purchased the revamped game for the first time($60). Their content lust is now appeased for four months of eso+. Should the stay with the game they might not be interested in new content for up to a year on casual play schedules. In order to appease old players you must keep delivering content, so it's unlikely that any new player will take interest in old content. (As Bungie's Destiny has displayed.) So after white washing the value of eso+ with this new model subscriber demand has lowered. Past the 4 months you start loosing money on new players vs subscribers. Which would mean your betting on a magical new player base every quarter that wont last with you more then four months, to be over the population of your subscriber base. Rather then include this dlc in the package giving all players the attractive option subscribe & play three easy months to make more money. Noticing that previous quarterly dlc was $20 making an outstanding amounts more off the subscriber base then dismal one time dlc purchases. Wither it be a new player staying 12 months with all the old & additional content to help keep them around for a year or the old player that just stays & pays because they like the game.
Don't let them do it.
& Above all else making false promises or agreements in exchanges of official monetary currency is illegal on most continents & is in Delaware, the registry of your finances. As with almost anything discernible there is 'legal leeway' but in this circumstance it's so restrained that if your lawyer earnestly said he could win their either lying to you or delusional. As things stand now if this were taken to court you could loose millions in your profit front on this game. In addition to opening unspoken pandora, leaving you to pay thousands of reparations in digital or monetary exchanges.
I've noticed arrogance & ignorance in most of the forum posts surrounding this topic, but understand that the U.S courts are the truer arbitrators of such issues & once tapped into will set compliance & definition for not just Zenimax but the industry. At your ruin...

Rather then take this new course I suggest you take or at least provide the usual crown store option with a separate 2000 crown warden purchase or 4000 crown bundle with map, warden & scrolls without the discovery package. 6000 version with & a 10000 crown digital collectors. & I buffed the monetary translation for
that reason.
