Physical Resistance verses Penetration

Hi Elder Scrollings,
Can someone please answer if penetration offsets resistance at a one to one ratio. Meaning if I had 13k penetration from gear and weapons and someone had 14k resistance would they technically only have 1k resistance against me? or if they had only 12k resistance would I basically bring their resistance to zero?
